1. About these terms
These Terms of Service ("Terms") govern your use of the Prosochi platform ("Service"), operated by IOLIS Ltd, a company registered in England and Wales (company number 11968202), with its registered office at C5 Business Centre C5 North Road, Bridgend Industrial Estate, Bridgend, Wales, CF31 3TP ("we", "us", "our").
By creating an account, uploading files, downloading files, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. The service
Prosochi provides a platform for the encrypted transfer of files between parties. Key characteristics of the Service include:
- Files are encrypted with AES-256-GCM before being written to disk.
- Encryption keys are protected by a Hardware Security Module (Azure Key Vault).
- Recipients access files via secure links with email-based one-time code verification.
- All packages have a user-defined expiry date, after which files are permanently deleted.
- The Service runs on dedicated infrastructure located in Finland, within the European Union.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice where practicable.
3. Eligibility
You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement.
If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
4. Account responsibilities
If you create an account, you are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account.
- Notifying us immediately if you believe your account has been compromised.
You must provide accurate and complete information when registering. We reserve the right to suspend or terminate accounts that contain false or misleading information.
5. Acceptable use
You agree to use the Service lawfully and responsibly. You must not use Prosochi to:
- Upload, transfer, or store any material that is unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
- Transfer files that infringe any third party's intellectual property rights, trade secrets, or rights of privacy.
- Distribute malware, viruses, or any other harmful software (note: Prosochi independently blocks executables, scripts, and dangerous file types at multiple detection layers).
- Attempt to gain unauthorised access to the Service, other user accounts, or the underlying infrastructure.
- Use the Service for bulk unsolicited communications or spam.
- Circumvent, disable, or otherwise interfere with any security or access-control features of the Service.
- Use the Service in any way that could damage, overload, or impair the infrastructure.
We reserve the right to suspend or terminate your access immediately if we reasonably believe you are in breach of this section.
6. Files and content
You retain full ownership of and responsibility for all files you upload to or transfer through the Service. IOLIS Ltd claims no ownership of your content.
Because files are encrypted end-to-end, we cannot access, review, or monitor the contents of transferred files. You are solely responsible for ensuring that the files you transfer comply with all applicable laws and regulations, and that you have the necessary rights and permissions to transfer them.
7. File expiry and deletion
Every package transferred through Prosochi has a user-defined expiry date. When the expiry date passes:
- The download link ceases to function.
- The encrypted files are permanently deleted from our server.
- This deletion is irreversible. We cannot recover expired files.
You are responsible for ensuring that intended recipients download files before the expiry date. We accept no liability for files that expire before they are accessed.
8. Subscriptions and payment
Certain features of the Service may require a paid subscription. If you subscribe to a paid plan:
- Fees are charged in advance on a recurring basis (monthly or annual, depending on your plan).
- All fees are exclusive of VAT unless stated otherwise.
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are given for unused time within a billing period.
- We reserve the right to change subscription fees with at least 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.
9. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our reasonable control.
We provide support via email. Response times depend on your subscription plan.
10. Intellectual property
All rights, title, and interest in the Prosochi platform — including its design, source code, trademarks, and documentation — remain the property of IOLIS Ltd. Nothing in these Terms grants you any right to use our branding or intellectual property except as necessary to use the Service.
11. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied.
- IOLIS Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
- Our total aggregate liability for any claim arising from or related to the Service shall not exceed the fees you have paid to us in the twelve months preceding the claim.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
12. Indemnification
You agree to indemnify and hold harmless IOLIS Ltd, its directors, officers, and employees from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any applicable law or third-party right.
13. Termination
You may close your account at any time by contacting us. We will delete your account data within 30 days, subject to any legal retention requirements.
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, breach of these Terms, suspected fraud, or extended periods of inactivity.
Upon termination, your right to use the Service ceases immediately. Any files associated with active packages will continue to be available to recipients until their expiry dates, after which they will be permanently deleted.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify account holders by email at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
16. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and IOLIS Ltd regarding the use of the Service. They supersede all prior agreements, understandings, and representations, whether written or oral.
